Equity One Announces Pricing of Offering of Common Stock
Wed Sep 24, 10:00 AMNORTH MIAMI BEACH, Fla.--(BUSINESS WIRE)--Equity One, Inc. (NYSE: EQY) announced today the pricing of its underwritten public offering of 2.2 million shares of its common stock on September 24, 2008, at a price to the public of $21.47 per share, resulting in approximately $45.2 million of net proceeds to the Company, before expenses. The company also granted the underwriters a 30-day option to purchase up to an additional 330,000 shares of common stock to cover over-allotments, if any. The offering was made pursuant to the Companys effective shelf registration statement and settlement is expected to occur on or about September 29, 2008.
In addition and concurrently with the closing of the public offering, MGN America LLC, an entity affiliated with the Companys largest stockholder, Gazit-Globe, Ltd., will purchase directly from the company an aggregate of 440,000 common shares at the public offering price, resulting in net proceeds to the Company of approximately $9.4 million.
The company intends to use the net proceeds to repay indebtedness outstanding under its revolving credit facilities and for other general corporate purposes, including future acquisitions, redevelopments and developments, debt repayments and for working capital.
Merrill Lynch & Co., Deutsche Bank Securities, and J.P. Morgan Securities Inc. served as joint book-running managers for the offering. Also underwriting the offering were Banc of America Securities LLC, Stifel Nicolaus and BB&T Capital Markets.
