Celtic Announces $37.5 Million Equity Financing

CALGARY, ALBERTA--(Marketwire - April 2, 2008) - Celtic Exploration Ltd. (TSX: CLT.TO) ("Celtic" or the "Company") has entered into an agreement with a syndicate of underwriters co-led by FirstEnergy Capital Corp. and GMP Securities L.P., and including Peters & Co. Limited, Tristone Capital Inc., BMO Nesbitt Burns Inc., RBC Capital Markets, CIBC World Markets and Thomas Weisel Partners Inc., pursuant to which the underwriters have agreed to purchase for resale to the public, on a bought-deal basis, 2.5 million common shares of the Company at a price of $15.00 per common share for gross proceeds of $37.5 million. In addition, the underwriters have been granted an over-allotment option, which may be exercised up to 30 days after closing of the offering, to purchase up to 375,000 additional common shares at a price of $15.00 per common share. If the over-allotment option is fully exercised, gross proceeds from the offering would increase to $43.1 million. Prior to this offering, Celtic has 37.8 million common shares issued and outstanding.

Net proceeds from the offering will initially be used to pay down outstanding bank debt, and subsequently to fund Celtic's on-going capital expenditures and for general corporate purposes.

The offering is subject to certain conditions including required regulatory approvals. The common shares will be offered in all provinces of Canada, except Quebec, by way of a short-form prospectus and in the U.S. on a private placement basis, pursuant to exemptions from registration requirements. The closing of the offering is expected to occur on or about April 22, 2008.
