Temex announces results of annual & special meeting

TORONTO, July 15 /CNW/ - Temex Resources Corp. (TSX Venture:TME, Frankfurt:TQ1) ("Temex" or the "Company") announces results of the Company's annual and special meeting of shareholders held today (the "Meeting").

Shareholders appointed parker simone LLP as auditors of the Company to hold office until the Company's next annual meeting of shareholders, at a remuneration to be fixed by the directors.

Each of the incumbent directors, Ian Campbell, Bruce Durham, Angus Footman, David Wahl, Peter Akerley, and Nelson Baker was elected as a director of the Company to hold office until the close of the next annual meeting of shareholders of the Company, unless such office is earlier vacated.

The Company's stock option plan was approved by shareholders at the Meeting. The stock option plan provides that the maximum number of common shares that may be reserved and set aside for issuance under the stock option plan shall not exceed 10% of the aggregate number of common shares outstanding.

The Company also announces the grant of an aggregate of 982,000 options under the stock option plan to the Company's directors and to certain other members of management. Each such option may be exercised by the holder to purchase one common share of the Company at a price of $0.57 per share, representing the closing trading price of the Company's common shares on the TSX Venture Exchange on July 14, 2008, for a period of 5 years.
